The rules for using Newtools — our website, directory, accounts, and AI features.

These Terms of Service (Terms) are a contract between you and Newtools (we, us, our) for use of:

  • our website at newtools.io and related pages
  • our public tools directory and research content
  • accounts, bookmarks, and product features available when you sign in
  • our AI assistant and related research tools (where offered)

By accessing or using Newtools, you agree to these Terms. If you do not agree, do not use the service.

1. Who we are

Newtools operates a curated software tools directory and related product features for developers, designers, and makers. We help people discover, compare, and decide on tools — with labelled commercial placements where applicable.

2. Eligibility

You must be able to form a binding contract under the laws that apply to you.

  • If you use Newtools on behalf of a company or other organisation, you confirm you have authority to bind that organisation to these Terms.
  • The service is not directed at children under 16. Do not create an account if you are under 16.
  • You are responsible for complying with export, sanctions, and local laws that apply to your use.

3. The service we provide

3.1 Public website and directory

Newtools publishes listings, categories, editorial articles, and related information about third-party software tools. We aim for useful, honest information, but:

  • listings and content may be incomplete, outdated, or contain errors
  • we do not control third-party products, pricing, or websites
  • we do not guarantee that any tool will meet your needs

3.2 Accounts and signed-in features

When you create an account, you may access features such as bookmarks, submissions, settings, and (where enabled) the AI assistant. We may add, change, or remove features over time.

3.3 AI assistant and research features

Where offered, Newtools may use third-party AI models and tools to generate answers, comparisons, summaries, or research. See AI-generated content below.

3.4 Beta and evolving product

Some features may be labelled beta, experimental, or preview. Those features may change, break, or be withdrawn. Usage limits may apply to protect the service for everyone.

3.5 No professional advice

Nothing on Newtools is legal, financial, tax, investment, security, or other professional advice. You are responsible for your own decisions and for verifying information before you buy, deploy, or rely on a tool.

4. Accounts, sign-in, and security

4.1 Accurate information

Provide accurate registration details and keep them up to date.

4.2 Credentials and social sign-in

You are responsible for safeguarding your password and any devices used to access your account. If you sign in with a third-party provider (for example Google or GitHub), you authorise us to receive basic profile information needed to create and secure your account. We do not post or take actions on your social accounts. Your use of each provider is also subject to that provider’s terms.

4.3 Notify us of misuse

Tell us promptly at support@newtools.io if you suspect unauthorised access to your account.

4.4 Our right to refuse or suspend

We may refuse registration, limit features, or suspend or terminate accounts that breach these Terms, create risk, or abuse the service.

5. AI-generated content

When you use AI features:

  1. Outputs can be wrong. Responses may be inaccurate, incomplete, biased, or out of date. Always verify before relying on them.
  2. Not advice. AI output is informational only — not professional advice.
  3. Your inputs. You retain rights in content you submit, but you grant us the rights needed to process it and provide the service. Do not submit secrets, other people’s personal data, or confidential material you are not allowed to share.
  4. Third-party processing. Prompts and related context may be sent to third-party model and infrastructure providers solely to generate a response and operate the feature. See the Privacy Policy for processors and more detail.
  5. Acceptable use of AI. Do not use the assistant to generate unlawful, harmful, infringing, or abusive content; to attack systems; to spam; or to evade rate limits.
  6. Rate limits. We may apply fair-use and rate limits and may suspend access for abuse.

6. Acceptable use

You agree not to:

  • break any applicable law or regulation
  • attempt unauthorised access to accounts, systems, or data
  • probe, scan, or stress-test the service without our written permission
  • scrape, harvest, or bulk-download the site in a way that harms performance or violates robots rules we publish
  • reverse engineer the service except where the law allows
  • interfere with other users or with the integrity of the platform
  • upload malware or harmful code
  • misrepresent your identity or affiliation
  • use Newtools to send spam or unsolicited commercial messages
  • use the service to build a competing directory by systematically copying our non-public datasets or bypassing technical limits

We may investigate and take action (including suspension) if we reasonably believe you have breached this section.

7. Content, listings, and third-party tools

7.1 Our content

Text, branding, design, software, and compilation of the directory are owned by Newtools or our licensors and protected by intellectual property laws. You may not copy substantial parts of the service for commercial reuse without our written consent, except for ordinary viewing, linking, and fair dealing / fair use rights that the law already gives you.

Listings may link to third-party websites, products, and pricing pages. Those products are offered by third parties, not by Newtools. Their terms, privacy practices, and security are their responsibility. Clicking out of Newtools is at your own risk.

7.3 Accuracy

We try to keep listings useful, but we do not warrant that any listing, price note, feature claim, or comparison is complete or current. Always confirm on the vendor’s site before you buy.

7.4 Submissions and user content

If you submit a tool, correction, feedback, or other content:

  • you confirm you have the rights to submit it and that it is not unlawful or infringing
  • you grant Newtools a worldwide, non-exclusive, royalty-free licence to host, use, reproduce, modify (for formatting), display, and distribute that content in connection with operating and promoting the service
  • we may edit, refuse, or remove submissions at our discretion

Some outbound links may be affiliate links, and some listings or placements may be paid or sponsored. Paid placement does not mean an unpaid editorial endorsement. Details are in our Affiliate Disclosure. Where we label something as featured, sponsored, or promoted, treat that label as part of these Terms.

Certain features or promotions (for example featured listings or sponsor placements) may require payment.

  • Payments are processed by third-party providers such as Stripe. We do not store full card numbers.
  • Prices, taxes, and billing terms shown at checkout or on the relevant order page apply.
  • Subscriptions, if offered, renew according to the plan you select until cancelled through the billing portal or as described at purchase.
  • Refunds: except where required by law (including non-excludable rights under the Australian Consumer Law), fees are generally non-refundable for partial periods or change of mind. If you believe you were charged in error, contact support@newtools.io and we will review in good faith.
  • We may change prices or plan features with reasonable notice; changes typically apply from the next renewal unless the law requires otherwise.

9. Privacy and data protection

Our Privacy Policy explains what we collect, how we use it, international transfers, and your rights (including rights that may apply under Australian privacy law and, where relevant, GDPR/UK GDPR for people in the EEA/UK).

By using Newtools you acknowledge that processing described in the Privacy Policy is necessary to provide the service. Where consent is required by law for a specific activity, we will ask for it in the appropriate place.

10. Intellectual property claims

If you believe content on Newtools infringes your copyright or other IP rights, contact support@newtools.io with:

  • your contact details
  • a description of the work and where it appears on Newtools
  • a statement of your good-faith belief that use is not authorised
  • a statement that the information is accurate and that you are the owner or authorised agent

We may remove or disable access to material while we review a notice.

11. Disclaimers

To the maximum extent permitted by law:

  • Newtools is provided “as is” and “as available”
  • we disclaim all warranties that are not required by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • we do not warrant uninterrupted, secure, or error-free operation

Australian Consumer Law

If you are a consumer in Australia, you have rights under the Australian Consumer Law (ACL) that cannot be excluded. Nothing in these Terms excludes, restricts, or modifies those non-excludable rights. Where our liability can be limited under the ACL, we limit it to resupplying the services or paying the cost of resupply, at our option.

12. Limitation of liability

To the maximum extent permitted by law (and subject to the ACL section above):

  • Newtools and its operators, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive loss; lost profits; lost data; or business interruption arising from your use of (or inability to use) the service
  • our total aggregate liability for all claims relating to the service in any 12-month period is limited to the greater of (a) the amounts you paid us for the service in that period, or (b) AUD $100

Some places do not allow certain limitations; in those places, our liability is limited to the fullest extent the law allows.

13. Indemnity

You agree to indemnify and hold harmless Newtools and its operators from claims, damages, losses, and expenses (including reasonable legal fees) arising out of:

  • your misuse of the service
  • your user content or submissions
  • your breach of these Terms
  • your violation of any law or third-party right

This does not apply to the extent a claim is caused by our fraud, gross negligence, or wilful misconduct, or where the law does not allow it.

14. Suspension and termination

We may suspend or terminate access immediately if you breach these Terms, if required by law, or if needed to protect the service or other users.

You may stop using Newtools at any time. You may request account deletion through product settings where available, or by emailing support@newtools.io.

Provisions that should survive termination (including IP, disclaimers, liability limits, indemnity, and governing law) will continue to apply.

15. Changes to these Terms

We may update these Terms from time to time. We will post the new version on this page and update the Last updated date. If a change is material, we may also provide additional notice (for example by email or an in-product message) where reasonable.

Continued use after the effective date of changes means you accept the updated Terms. If you do not agree, stop using the service.

16. Governing law and disputes

These Terms are governed by the laws of New South Wales, Australia, and the Commonwealth of Australia, without regard to conflict-of-law rules that would choose another jurisdiction.

Courts located in New South Wales, Australia will have non-exclusive jurisdiction, except that:

  • you may have mandatory consumer rights to bring claims in your local courts
  • we may seek injunctive relief in any jurisdiction to protect our IP or the service

If a dispute arises, contact us first at support@newtools.io so we can try to resolve it informally.

17. International users and GDPR

Newtools is operated from Australia and may be used from other countries, including the European Economic Area and the United Kingdom.

  • Contract and service. These Terms still apply to your use of the service.
  • Personal data. Cross-border transfers, legal bases, and privacy rights (including GDPR/UK GDPR access, deletion, and objection rights where they apply to you) are described in the Privacy Policy — not repeated in full here.
  • Local mandatory law. If mandatory local consumer or privacy laws give you rights that cannot be waived, those rights apply alongside these Terms.

18. General

  • Entire agreement. These Terms, plus the Privacy Policy, Affiliate Disclosure, and any order or plan terms you accept at purchase, are the entire agreement for the service.
  • Severability. If one part is unenforceable, the rest remains in effect.
  • No waiver. If we do not enforce a provision once, we may still enforce it later.
  • Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
  • Language. These Terms are in English. Translations, if any, are for convenience only.
